BLACKBIRD – TERMS OF SERVICES

These Terms of Services ("Terms") govern all sales, services, repairs, inspections, and related activities performed by Blackbird ("Company"). By purchasing products or services from Blackbird, the customer ("Customer") agrees to be bound by these Terms.

1. Scope of Services
Blackbird provides parts sales, sourcing, repair management, logistics support, and related technical services. All services are performed in accordance with applicable industry standards and customer-approved specifications when provided.

2. Quotations and Pricing
All quotations issued by Blackbird are valid for the period specified in the quotation, unless otherwise stated. Prices are subject to change without prior notice due to market conditions, supplier pricing adjustments, or currency fluctuations.

Unless explicitly stated, prices do not include:

  • Shipping or freight charges

  • Insurance

  • Taxes, duties, or customs fees

  • Installation or labor services

3. Orders and Acceptance
Customer orders are considered binding upon written confirmation by Blackbird. The Company reserves the right to accept or reject any order at its sole discretion.

Any changes or cancellations requested by the Customer after order confirmation are subject to approval by Blackbird and may incur additional charges.

4. Payment Terms
Payment terms will be specified on the invoice or quotation. Unless otherwise agreed in writing:

  • Payment is due prior to shipment for new customers

  • Late payments may be subject to interest charges

  • Blackbird reserves the right to suspend services or shipments for overdue accounts

5. Delivery and Shipping
Delivery dates are estimates only and are not guaranteed unless expressly stated in writing. Blackbird shall not be liable for delays caused by suppliers, carriers, customs authorities, force majeure events, or circumstances beyond its reasonable control.

Risk of loss and title transfer to the Customer upon delivery to the carrier, unless otherwise agreed in writing.

6. Inspection and Acceptance
Customer must inspect all products immediately upon receipt. Any discrepancy, damage, or non-conformity must be reported to Blackbird within 48 hours of delivery.

Failure to notify Blackbird within this period shall constitute acceptance of the goods.

7. Warranty Disclaimer
Unless otherwise stated, all products are sold:

  • In accordance with the manufacturer's warranty, if applicable

  • Without additional warranty from Blackbird

Blackbird does not guarantee the performance of products beyond the manufacturer's specifications.

8. Limitation of Liability
To the maximum extent permitted by law, Blackbird shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits or revenue

  • Loss of use or operational downtime

  • Any damages exceeding the value of the
